Section 1683B of the Corporations Act 2001 requires the Minister to cause a review to be conducted of the operations of the changes made to the continuous disclosure regime by the Treasury Laws Amendment (2021 Measures No.1) Act 2021 (Amending Act).
In carrying out this review, the reviewer will have regard to:
- whether the changes made to the continuous disclosure regime are working in support of an efficient, effective and well informed market
- the effect of the amendments on the quality and nature of disclosures made by listed companies
- continuous disclosure regimes that operate overseas and the extent to which the Australian regime is consistent with those regimes
- whether the amendments have given rise to barriers that may prevent compliance with or enforcement of the continuous disclosure obligations.
In undertaking the review, the reviewer is required to consult with the public and invite submissions.
The review may set out recommendations to the government, providing a rationale for any recommendations that are made.
The reviewer is to provide a report to the government by 14 February 2024.
